Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Pear Inventory, a warehouse and inventory management software service provided by Threaded Pear LLC ("we", "us", "our"). By creating an account, subscribing, or using the service you agree to these Terms. If you do not agree, do not use the service.

1. The service

Pear Inventory is a cloud-hosted application for managing inventory, orders, picking, packing and shipping workflows, and for syncing with third-party systems you connect (e.g., Shopify, ShipStation, Finale, Dear-Lover). Features may change over time.

2. Accounts

You are responsible for the accuracy of your registration information, for keeping your login credentials confidential, and for all activity that occurs under your account. You must be at least 18 years old and authorized to bind your organization to these Terms.

3. Subscription, trial, and billing

• The service is offered on a recurring subscription of $99 USD per month per account.
• New accounts may receive a free trial. A valid payment method is required to start.
• At the end of the trial, your card is charged the then-current subscription fee and renews monthly until cancelled.
• You authorize us and our payment processor (Stripe) to charge your payment method on each renewal.
• Fees are exclusive of taxes; you are responsible for any applicable taxes.

4. Cancellation and refunds

You may cancel at any time from your billing page. Cancellation stops future renewals; access continues through the end of the paid period. All charges are non-refundable, including partial-month usage. See our Refund & Cancellation Policy for details.

5. Acceptable use

You agree not to:

• Use the service to violate any law or third-party right.
• Reverse engineer, resell, or sublicense the service except as expressly permitted.
• Interfere with, disrupt, or attempt to gain unauthorized access to the service or its underlying systems.
• Upload malware, send unsolicited communications through the service, or use the service to store unlawful content.

6. Your data

You retain ownership of the data you upload or generate in Pear Inventory ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the service. Our handling of personal data is described in our Privacy Policy and, where applicable, our Data Processing Addendum.

7. Third-party integrations

The service connects to third-party systems at your direction (Shopify, ShipStation, Finale, Dear-Lover, Stripe, and others). Your use of those systems is subject to their own terms. We are not responsible for third-party services, their availability, or actions taken by them on your data.

8. Service availability

We strive to keep the service available but do not guarantee uninterrupted operation. Scheduled maintenance, third-party outages, or events outside our reasonable control may cause downtime.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend and indemnify Threaded Pear LLC from third-party claims arising out of your Customer Data, your use of the service in violation of these Terms, or your violation of any law.

12. Termination

We may suspend or terminate your account if you materially breach these Terms, fail to pay, or use the service in a way that risks harm to us or other users. On termination, your right to use the service ends and we may delete Customer Data after a reasonable period.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after the effective date of the updated Terms constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws principles. The exclusive venue for disputes is the state and federal courts located in Texas, and you consent to personal jurisdiction there.
